STANDARD TERMS AND CONDITIONS
Definitions
1.1 In these Terms and Conditions, unless otherwise stated:
1.1.1 “Business Day(s)” means any weekday, excluding Saturdays, Sundays, and South African public holidays.
1.1.2 “Customer” refers to the individual or entity placing an order for Goods with Dru Lef Retail CC.
1.1.3 “Dru Lef Retail CC” refers to the registered entity, incorporated under the laws of South Africa (registration no. 2019/446209/07), located at 24 Nellie Road, Norwood, 2117.
1.1.4 “Order(s)” means any request (oral or written) by the Customer for Goods.
1.1.5 “Goods” refers to supplements or products categorized as Schedule 0 under the Medicines and Related Substances Act 101 of 1965. These include, but are not limited to, products sold under the By Dr Terry Ann brand (Biotonix and Naturmade).
2. Interpretation
2.1 Any reference to one gender includes all genders; the singular includes the plural and vice versa.
2.2 The contra proferentem rule (interpreting ambiguity against the drafter) does not apply.
2.3 These Terms apply to all Orders placed with Dru Lef Retail CC and override any conflicting conditions.
2.4 Headings are for reference only and do not affect interpretation.
3. Commencement and Duration
These Terms take effect upon placing an Order and remain in force indefinitely. All Orders placed signify acceptance of these Terms.
4. Orders and Pricing
4.1 Orders are deemed accepted upon acknowledgment by Dru Lef Retail CC, whether in writing or otherwise. Lack of acknowledgment does not invalidate the Order.
4.2 Pricing is based on the quoted amount at the time of the Order, unless otherwise agreed in writing.
4.3 The Customer must confirm all delivery details before processing begins.
4.4 Delivery is typically within 2 to 5 Business Days, but will not exceed 10 Business Days.
4.5 First-time Customers receive a complimentary branded box with their initial Order.
4.6 Prices may be adjusted due to changes in input or delivery costs, with fair notice provided.
4.7 All prices are quoted in South African Rand (ZAR) and include VAT unless stated otherwise.
5. Payments and Terminations
5.1 Full payment is required upfront. Payments are non-refundable once Order processing begins.
5.2 To cancel an Order, the Customer must provide 21 Business Days’ written notice.
5.3 Invoice disputes must be raised within 2 Business Days of receipt; otherwise, the invoice is deemed accepted.
5.4 Payments must be made in full, without deductions or set-offs.
5.5 Payments are considered received only once they have cleared in Dru Lef Retail CC’s account.
6. Delivery and Refunds
6.1 While we strive to meet delivery timelines, delays beyond our control do not constitute grounds for liability.
6.2 Customers must sign a delivery receipt upon receiving Goods.
6.3 All Orders are subject to stock availability.
6.4 No Goods will be dispatched before full payment is received.
6.5 Refunds are issued at the discretion of Dru Lef Retail CC, excluding delivery fees.
6.6 Certain products may carry a 90-day money-back guarantee, subject to specific conditions.
7. Order Pause Option
7.1 Customers may pause their Order for up to 6 weeks by notifying Dru Lef Retail CC at least 5 Business Days before the next scheduled debit date. After 6 weeks, the Order will automatically resume.
8. Variations and Additions
8.1 No variation or addition to these Terms is valid unless agreed in writing and signed by both parties.
8.2 No omission or delay by Dru Lef Retail CC in exercising rights shall be construed as a waiver.
9. Intellectual Property
9.1 All product concepts, formulas, and packaging provided by the Customer remain their property. However, all methodologies, processes, and proprietary systems used by Dru Lef Retail CC remain its sole property until full payment is made.
9.2 The Customer may not assign any rights or obligations under these Terms without written consent.
10. Breach
In the event of a breach, the non-defaulting party may enforce these Terms or claim damages, provided 7 Business Days’ written notice has been given to remedy the breach.
11. Termination and Suspension
Dru Lef Retail CC reserves the right to suspend or terminate an Order if the Customer fails to pay, breaches these Terms, or becomes insolvent.
12. Indemnity
Dru Lef Retail CC shall not be liable for any loss or damage, whether direct or indirect, arising from the use of its Goods.
13. Force Majeure
Dru Lef Retail CC is not responsible for delays or failure to perform obligations due to events beyond its control, including but not limited to strikes, acts of God, and regulatory changes.
14. Legal Addresses (Domicilium)
Both parties elect their principal place of business as their domicilium citandi et executandi (legal address) for serving legal documents and notices.
15. General
15.1 If any clause in these Terms is found to be invalid or unenforceable, the remaining clauses shall remain fully effective.
15.2 These Terms are governed by the laws of South Africa.
